外高桥保税区关于鼓励营运中心发展的通知

 

 

 

保税区各行政职能部门、集团公司及直属开发公司:

  为进一步推动外高桥保税区的经济发展,支持企业整合资源和提升竞争力,根据外高桥保税区的实际情况,发布本通知。

一、本通知中的营运中心,是指:

  1、具有独立法人资格;

  2、公司注册资本在100万美元(含100万美元)或800万元人民币以上(含800万元人民币);

  3、公司总部的资产总额达到4亿美元以上(含4亿美元)或32亿元人民币以上(含32亿元人民币);

  4、公司申请前一年或当年的营业(销售)收入达15亿元人民币以上(含15亿元人民币),且缴纳工商税收总额1000万元人民币以上(含1000万元人民币);

  5、由公司总部董事会授权该营运中心负责管理中国区域或包括中国区域但不仅限于中国区域的商品分销及相关业务;

  6、在保税区注册地实际经营,且在保税区内购买或租赁物业建筑面积在100平方米以上(含100平方米)。

二、鼓励营运中心按照有关法律、法规、规章,从事下列经营、管理和服务活动:

  1、商品分销、进出口及相关配套业务;

  2、保税仓储业务,转口贸易;

  3、市场营销服务,产品维修、检测、展示、技术咨询和技术培训、售后服务及商业性简单加工等相关业务;

  4、法律、法规、规章规定的其他经营、管理和服务活动。

三、对营运中心高级管理人员的奖励适用《“十一五”期间外高桥保税区财政扶持经济发展的若干意见》。

  高级管理人员是指直接参与该公司营运、管理的高级人员,通常指该公司的总经理、副总经理(或总裁、副总裁)及部门的主要负责人,一般不包括公司董事会成员、上级公司的管理人员。此类人员在申请奖励前须担任高级职务连续一年以上。

  高级管理人员按实际人数计算最多不超过10人,高级管理人员如发生变动,变动后人数将重新计算。

四、上海市外高桥保税区管理委员会负责实并解释鼓励营运中心发展的具体工作,保税区其他行政职能部门在各自职责范围内,做好对营运中心的服务工作。

Notice on Encouraging Operation Center’s Development in Waigaoqiao Bonded Zone

 

Administrative functional Departments, corporations and companies in Waigaoqiao Bonded Zone,

The purpose of issuing this notice is, according to the actual situations of Waigaoqiao Bonded Zone, to promote further economic development in this area, and to support companies to integrate resources in order to enhance their competitiveness.

1 Operation centers in this notice refers to:

1.1 companies with independent qualification of artificial person;

1.2 companies with registered capital of over 1,000,000 USD dollars (including 1,000,000 USD dollars) or 8,000,000 RMB (including 8,000,000 RMB);

1.3 headquarters with total capital of over 400,000,000 USD dollars (including 400,000,000 USD dollars) or 3,200,000,000 RMB (including 3,200,000,000 RMB);

1.4 companies with takings (sales revenue) in the applying year or the year before over 1,500,000,000 RMB (including 1,500,000,000 RMB), and with a total amount of 10,000,000 RMB (including 10,000,000 RMB) paid to Administration for Industry and Commerce and Tax Bureau;

1.5 companies with authorization from headquarters’ board of directors to take charge of goods distribution and relevant business in but not limited to China.

1.6 companies carrying out operations in registered area in Bonded Zone with a property area of over 100 m2 (including 100 m2) by means of purchase or tenancy.

2 Encouraging operation center to carry out, by laws and regulations, deals, managerial activities and services as follows:

2.1 goods distribution, exportation and importation, as well as other relevant business;

2.2 storage and carrying trade;

2.3 marking services, products maintaining, examining, and displaying, technology consultant, after service, and other relevant services such as simple commercial processing;

2.4 other deals, managerial activities and services allowed by laws and regulations.

3 Advice on Waigaoqiao Bonded Zone’s Financial Support for the Economic Development During "11th Five-Year Plan" Period is applied to the rewarding of senior management staffs in operation centers.

Senior management staffs refer to senior personnel directly involved in a company’s operation and management, which generally include a company’s General Manager, Vice General Manager (or President, Vice President) and major department directors, while board directors and managerial personnel from superior company are excluded. One continuous year in senior position is a must before these personnel apply for rewards.

The number of senior managerial personnel shall not be more than 10. And the number will be recalculated if there are changes.

4 Committee of Shanghai Waigaoqiao Bonded Zone is in charge of implementing and interpreting the details of encouraging operation center’s development. Other administrative functional departments shall, in their respective areas of responsibility, do a better job in serving operation centers.
